Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers .


On September 23, 2020, the Compensation Committee of the Board of Directors of Natural Grocers by Vitamin Cottage, Inc. (the “Company”) approved the following compensatory arrangements for Todd Dissinger, the Company’s Chief Financial Officer: (i) an increase in base salary from $435,600 to $479,160, effective October 1, 2020; (ii) a discretionary cash bonus of $250,000; (iii) a fully vested stock grant of 2,400 shares of the Company’s common stock granted on September 24, 2020; and (iv) 9,600 restricted stock units to be granted on October 1, 2020, vesting in five equal installments commencing on the first anniversary of the grant date. The aforementioned equity awards were issued under the Company’s 2012 Omnibus Incentive Plan, as amended.
