Item 5.02. Departure of Directors or Certain Officers:Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On December 22, 2025, New Peoples Bankshares, Inc. (the “Company”) and its wholly-owned subsidiary, New Peoples Bank, Inc. (the “Bank”), reported that John J. Boczar, Chief Accounting Officer and Secretary of the Company and the Bank, retired effective December 19, 2025. Mr. Boczar’s retirement does not relate to any disagreement on matters relating to the Company’s operations, policies or practices. Christopher G. Speaks, Chief Financial Officer of the Company and the Bank, will assume duties as principal accounting officer.
