Item 8.01. Other Events.

On April 3, 2024, Organogenesis Holdings Inc. (the “Company”) issued a press release announcing that on March 29, 2024, the United States District Court for the Eastern District of New York granted, with prejudice, the Company’s motion to dismiss all claims asserted in a securities fraud case against the Company, its chief executive officer and chief financial officer. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
