Item8.01. Other Events.

On July 29, 2025, the OTC Markets Group (“OTC Markets”) notified Orgenesis Inc. (the “Company”) that it has determined to move the Company’s common stock from Pink Limited to the Expert Market tier effective immediately.

After June 30th, 2025, Orgenesis Inc. (the “Company”) is more than 180 days delinquent in filing its 10-K for the period ending December 31^st^, 2024 and therefore no longer in compliance with SEC Rule 15c2-11. The Company was unable to remedy this deficiency within the 15-day cure period.
