Explanatory Note:

On July 26, 2022, TDH Holdings, Inc. (the “Company”) acquired 100% of the equity interests of Beijing Wenxin Company., Ltd. (“Beijing Wenxin”), a PRC limited liability company with registered capital of $2 million from Kargo Services, Inc., a British Virgin Islands Company, which established Beijing Wenxin. The Company plans to utilize Beijing Wenxin for the strategic acquisition of petfood related businesses.
