Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 10, 2022, Rajesh Masina notified Polar Power, Inc. (the “Company”) of his resignation from the position of the Chief Operating Officer of the Company, effective January 21, 2022. Mr. Masina’s resignation from the Company was not a result of any disagreement with the Company on any matter related to its operations, policies or practices.

Balwinder Samra, the Executive Vice President of the Company, will take over business activities managed by Mr. Masina.
