Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On September 26, 2023, the Board of Directors appointed Gerald E. Gorski to the Board of QNB Bank and QNB Corp, effective January 1, 2024. Mr.Gorski will be a Class III Director, which Class serves until the annual meeting of shareholders in May 2024. He is the President of Gorski Engineering, Inc. in Collegeville, PA. Mr. Gorski has not yet been appointed to any Board committees.
