Item 5.02 Departure of Directors or CertainOfficers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 27, 2024, David Styka notified the Board of Directors (the “Board”) of Vicarious Surgical Inc. (the “Company”) of his intent to resign as executive chairman and member of the Board, effective February 29, 2024. Mr. Styka’s resignation is not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
