| Item 5.07 | Submission of Matters to a Vote of Security Holders. |
On May 15, 2025, the Company held its Annual Meeting virtually, for the purpose of (i) electing five directors to hold office until the 2026 Annual Meeting of Stockholders, (ii) ratifying the appointment of Deloitte & Touche LLP as the Company’s independent registered public accounting firm for the fiscal year ending December 31, 2025, and (iii) approving, on a non-binding, advisory basis, the compensation of the Company’s named executive officers (the “Say-on-Pay Vote”). The final voting results for each of the proposals submitted to a vote of shareholders at the annual meeting are set forth below.
Proposal 1. Election of Directors: At the Annual Meeting, five directors were elected for terms continuing until the 2026 Annual Meeting of Stockholders. For each nominee, the numbers of votes cast for, votes withheld and broker non-votes were as follows:

The proposal was approved.
