Exhibit (a)(28)
Stratasys to Review Revised Unsolicited Partial Tender Offer from Nano Dimension
No Shareholder Action Required at this Time
MINNEAPOLIS & REHOVOT, Israel – July 10, 2023 – Stratasys Ltd. (Nasdaq: SSYS) (the “Company”), a leader in polymer 3D printing solutions, today confirmed that Nano Dimension Ltd. (Nasdaq: NNDM) (“Nano”) has increased the offer price of its unsolicited partial tender offer to acquire Stratasys ordinary shares not already owned by Nano to $24.00 from $20.05 per share in cash (the “Revised Offer”). The percentage of outstanding Stratasys ordinary shares being sought in the Revised Offer and the offer period remains unchanged.
As previously announced on June 30, 2023, the Stratasys Board unanimously rejected Nano’s previous partial tender offer to acquire between 31.9% and 36.9% ownership of Stratasys’ outstanding ordinary shares for $20.05 per share in cash. On May 30, 2023, the Stratasys Board unanimously rejected Nano’s previous unsolicited partial tender offer to acquire between 38.8% and 40.8% ownership of Stratasys’ outstanding ordinary shares not already owned by Nano for $18.00 per share in cash. The Stratasys Board carefully reviewed and evaluated the partial tender offers and concluded that they substantially undervalued the Company and were not in the best interests of Stratasys shareholders.
Consistent with its fiduciary duties, and in consultation with its independent financial and legal advisors, the Stratasys Board of Directors will carefully review and evaluate the Revised Offer to determine the course of action that it believes is in the best interests of the Company and Stratasys shareholders. Stratasys shareholders are advised to take no action at this time pending the Stratasys Board’s review and evaluation of the Revised Offer.
Stratasys intends to advise shareholders of the Stratasys Board’s position regarding the Revised Offer within ten business days.
On May 25, 2023, Stratasys entered into a merger agreement with Desktop Metal, pursuant to which Desktop Metal, Inc. (NYSE: DM) (“Desktop Metal”) agreed to combine with Stratasys in an all-stock transaction. The Stratasys Board has not changed its unanimous approval, recommendation and declaration of advisability of the previously announced transaction with Desktop Metal.
J.P. Morgan is acting as financial advisor to Stratasys, and Meitar Law Offices and Wachtell, Lipton, Rosen & Katz are serving as legal counsel.

Team Stratasys,
We just issued a press release confirming that Nano Dimension has revised its unsolicited partial tender offer to acquire between 31.9% and 36.9% of the outstanding ordinary shares of Stratasys, increasing the offer price to $24.00 per share in cash. You can read the press release here.
As we have done in the past, consistent with its fiduciary duties and in consultation with its independent financial and legal advisors, our Board will carefully review and evaluate the revised partial tender offer to determine the course of action it believes is in the best interests of the Stratasys and its shareholders. The Board will publicly share its position regarding the tender offer in our filings with the U.S. Securities and Exchange Commission (SEC) and on our website within 10 business days.
In the meantime, we have advised Stratasys shareholders to take no action pending the conclusion of the Board’s review. As always, Board remains committed to doing what is in the best interests of the Company, our customers, and importantly all of you, our valued employees.
Additionally, the Stratasys Board has not changed its unanimous approval, recommendation and declaration of advisability of our combination with Desktop Metal, which will advance Stratasys’ strategy of leading additive manufacturing into mass production. We continue to expect the Desktop Metal transaction to close in the fourth quarter of 2023, subject to customary closing conditions, including the approval of Stratasys’ shareholders and Desktop Metal’s stockholders and the receipt of certain governmental and regulatory approvals.
I know that the news regarding our Company has been distracting, but I have been so impressed by the dedication and hard work that you all do every day to deliver best-in-class 3D printing solutions for our customers. It bears repeating that today’s news has no impact on our business or your day-to-day responsibilities, which I am confident you will continue to perform and succeed. Your outstanding contributions have solidified our success and set us up as major players in an industrywide shift, now taking place. This will take time, and I am committed to updating you every step of the way.
As you have been doing already, please forward any calls you receive from outside parties, including members of the media, investors and analysts to Yonah Lloyd at Yonah.Lloyd@stratasys.com.
Thank you for your continued effort.
Yours,
Yoav
