Item 2.06 Material Impairments.
On December 1, 2023, two subsidiaries of TLSS Operations Holding Company, Inc., a wholly-owned subsidiary of Transportation and Logistics Systems, Inc. (OTC PINK: TLSS) (“TLSS” or the “Company”), specifically TLSS-FC, Inc. and Freight Connections, Inc. (together “FC”) filed voluntary petitions under Chapter 7 of the US Bankruptcy Court, in the District of New Jersey. TLSS is a publicly-traded holding company in which its wholly-owned operating subsidiaries, Cougar Express, Inc., JFK Cartage, Inc., and Severance Trucking Co., together provide a full suite of logistics and transportation services.
Mr. Steven P. Kartzman, Esq. has been appointed as trustee in the case (“Trustee”). It is anticipated that the Trustee will market the assets of the FC business in a manner to maximize value for the creditors and stakeholders of the debtor, and in his discretion, will effectuate a sale of the debtor’s assets subject to court approval, including consideration of any higher and better offers. To the extent there are net proceeds from the sale(s) of the assets, such net proceeds would be paid to the creditors and stakeholders in accordance with the priorities established by law. The remaining operations of TLSS and its subsidiaries should not be affected by the cessation of the FC business.
