On August 4, 2026, Norman Newton resigned from the Board of Directors of Transportation and Logistics Systems, Inc. (the “Company”), and as a member of the Company’s Audit Committee and Nomination Committee. Such resignation was not due to any disagreement with the Company on any matter relating to its operations, policies (including accounting or financial policies) or practices.
