Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 26, 2020, the Board of Directors (the “Board”) of Vulcan Materials Company (the “Company”) accepted the resignation of D. Michael Wilson, a member of the Board, effective immediately. Mr. Wilson’s resignation was not the result of any disagreement relating to the Company’s operations, policies or practices.
