Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On July 13, 2026, Holly May, Petco Health and Wellness Company, Inc.’s (the “Company”) Chief Human Resources Officer, notified Joel Anderson, the Company’s Chief Executive Officer, of her decision to resign from the Company for personal reasons. Ms. May is expected to remain in her current position to assist with the transition of her responsibilities through a date to be mutually agreed upon between Ms. May and the Company. The Company has initiated a comprehensive search for Ms. May’s successor.
