Explanatory Note
This Amendment No. 1 to the Current Report on Form 8-K filed by Zoned Properties, Inc. with the Securities and Exchange Commission on August 11, 2022 (the “Original 8-K”) is being filed solely to correct a typographical error in the press release issued on August 11, 2022 and attached as Exhibit 99.1 to the Original 8-K. Except as set forth herein, there have been no changes to the Original 8-K.

On August 11, 2022, Zoned Properties, Inc. (the “Company”) issued a press release announcing its financial results for the three and six months ended June 30, 2022. A copy of this press release is attached hereto as Exhibit 99.1 and incorporated herein by reference. The information contained in the website is not a part of this current report on Form 8-K.
