“As disclosed in the Company's audited consolidated financial statements as of and for the year ended December 31, 2025, events and conditions existed which raised substantial doubt about the Company's ability to continue as a going concern, primarily due to recurring operating losses, negative cash flows from operations and liquidity constraints. Subsequent to year end, the Company completed the 2026 Follow-On Offering, raising approximately $241.8 million in net proceeds after completion of the Matrix Repurchase. Based on the successful execution of this financing, management has concluded that the events and conditions that previously raised substantial doubt have been alleviated.”
