The resultsof this appraisal are presented below. 2 2. PURPOSE OF APPRAISAL The appraisal of RETIRO BAIXO shareholders' equity, as of December 31st,2025, under the terms of Articles 226 and 227 of Brazilian Corporate Law No. 6,404/76, is intended to support the merger of the Companyby AXIA ENERGIA. 3. MANAGEMENT´S RESPONSIBILITY FOR FINANCIAL INFORMATION RETIRO BAIXO management is responsible for preparing financialstatements in accordance with Brazilian accounting practices, including Brazilian Corporate Law and the pronouncements, guidelines, andinterpretations issued by the CPC and approved by the CFC. Management is also responsible for maintaining internal controls deemed necessaryto ensure that the financial statements are free from material misstatement, whether due to fraud or error. A summary of the key accountingpolicies adopted by the Company is provided in Attachment 3 of this Appraisal Report. 4. SCOPE OF WORK AND ACCOUNTANT'S RESPONSIBILITYOur responsibility is to express a conclusion on the book value of RETIRO BAIXO shareholders' equity as of December 31st, 2025, in accordancewith Technical Communication CTG 2002, approved by the CFC, which provides the examination of balance sheets for appraisal reports. Weexamined the Company’s balance sheet in accordance with applicable Brazilian accounting standards, adhering to ethical requirementsand to plan and execute procedures to obtain reasonable assurance that the financial information is free from material misstatement. Thepreparation of this appraisal report involves specific procedures to obtain evidence regarding the recorded amounts, based on the accountant’sprofessional judgment, including an assessment of the risks of material misstatement in shareholders' equity, whether due to fraud orerror. In this assessment, we considered internal controls relevant to the preparation of the Company’s balance sheet to designprocedures appropriate to the circumstances, but not to express an opinion on the effectiveness of those controls. The work also includedevaluating the appropriateness of the accounting policies applied and the reasonableness of significant accounting estimates’ judgmentsmade by the Company’s management. We believe that the evidence obtained provides sufficient and appropriate basis for our conclusion.3 5. CONCLUSION Based on the work performed, we conclude that the shareholders' equity of RETIRO BAIXO, amounting to BRL 370,415,772.48(three hundred seventy million, four hundred fifteen thousand, seven hundred seventy-two reais and forty-eight cents) as of December 31st,2025, as presented in the accounting records and summarized in Attachment 1, represents, in all material respects, the book value of theCompany, in accordance with Brazilian accounting practices. Glossary ATTACHMENT 1ATTACHMENT2 1 SUMMARY OF THE MAIN ACCOUNTING PRACTICES ADOPTED BY RETIRO BAIXO Cash and cash equivalents Cash and cash equivalents include cashon hand, bank deposits, and financial investments with original maturities of up to 90 days, which are highly liquid and readily convertibleinto known amounts of cash. Financial investments consist substantially of investments held in fixed-income investment funds. Property,Plant and Equipment Property, plant and equipment are initially measured at cost. Cost includes expenditures directly attributable tothe acquisition or construction of the assets, as well as expenditures incurred to bring the assets into operation. Subsequently, property,plant and equipment are carried net of depreciation and impairment losses, if identified. The items of property, plant and equipment relatesubstantially to the Company's electric power generation infrastructure under its concession agreements. Depreciation of these assetsbegins when they are ready for operation and is recognized on a straight-line basis over the estimated useful life of each asset, consideringthe residual value of such assets at the end of the concession terms. The Company considers that the estimated useful lives establishedby the National Electric Energy Agency (ANEEL) appropriately reflect the useful lives of the assets and, therefore, adopts the depreciationrates determined by ANEEL. Liabilities Liabilities are recognized in the balance sheet when the Company has a present legal or constructiveobligation arising from past events, the settlement of which is considered probable and is expected to result in an outflow of economicresources. In cases where there are uncertainties regarding the amount or timing of settlement, liabilities are estimated and recognizedthrough provisions as the events giving rise to such obligations occur. Provisions are measured based on the best available estimates,reflecting the current assessment of the risks involved. ATTACHMENT 3 GLOSSARY Book Value The value at which an asset or liability isrecognized on the balance sheet. Building Owners and Managers Association (BOMA) The BOMA Standard measures buildings on a buildingwidebasis. It introduces the concept of Building Common Area (areas common to all of the tenants in a building).
