Item5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Years.

On October 22, 2024, Nuzee, Inc. (the “Company” or “we”) filed with the Secretary of State of the State of Nevada a Certificate of Amendment to our Articles of Incorporation to change our corporate name from Nuzee, Inc. to CIMG Inc., effective October 31, 2024. A copy of the Certificate of Amendment of Amended and Restated Certificate of Incorporation is attached as Exhibit 3.1 hereto and incorporated by reference.

Item7.01 Regulation FD Disclosure.

On October 28, 2024, the Company issued a press release announcing the change of its name to “CIMG Inc.” and the change of its trading symbol from “NUZE” to “IMG,” effective on October 31, 2024. A copy of the press release is attached hereto as Exhibit 99.1 to this Current Report on Form 8-K.

Beijing, China, October 28, 2024——NUZEE, INC., (the “Company”) (NASDAQ:NUZE) a company with a heritage in specialty coffee and an emerging business in broader consumer food and beverage products, today announced that the Company has filed with the Secretary of State of the State of Nevada a Certificate of Amendment to our Articles of Incorporation to change its corporate name from Nuzee, Inc. to CIMG Inc., effective October 31, 2024. In addition, the Company will change its trading symbol from “NUZE” to “IMG,” effective October 31, 2024.
