Item8.01. Other Events.

On September 23, 2024, Shane Schaffer, the Chief Executive Officer and Chairman of the Board of Directors (the “Board”) of Cingulate Inc. (the “Company”) was charged with one count of aggravated domestic battery.

Dr. Shaffer continues to have the Board’s full confidence and support to lead the Company.
