ITEM 5.02 DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS

On May 19, 2023, James E. Murray, Chief Operating Officer (“COO”), formally notified the Company of his plans to retire in 2024. Over the remainder of the current quarter, Mr. Murray will oversee the transition of his duties as COO to several functional leaders within the Company. For the remainder of his tenure, Mr. Murray will report to Sarah M. London, Centene’s Chief Executive Officer, and focus primarily on advancing the Company’s Medicare strategy.

“Over the last 18 months, Jim has led our VCO and administrative services functions, building a successful and sustainable transformation engine and a strong operational bench,” said Ms. London. "I am grateful for the contributions he has made to our Company, and I look forward to working with Jim to build the next phase of Centene’s Medicare strategy until his retirement.”
