Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Cohen & Steers, Inc. (the “Company”) previously announced on February 22, 2021 that Robert H. Steers, the Chief Executive Officer of the Company and a member of its Board of Directors (the “Board”), was taking a medical leave of absence. In connection with Mr. Steers’ leave of absence, the Board appointed Joseph M. Harvey, the Company’s President and a member of the Board, as the Company’s Acting Chief Executive Officer and designated “principal executive officer.”

On May 26, 2021, the Board reappointed Mr. Steers as the Company’s “principal executive officer,” effective June 1, 2021, in connection with Mr. Steers’ resumption of all of his duties and responsibilities as the Company’s Chief Executive Officer at that time.

In addition, effective June 1, 2021, Mr. Harvey will no longer be “principal executive officer” or Acting Chief Executive Officer of the Company and will continue in his roles as the Company’s President and a member of the Board.
