Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 22, 2021, Cohen & Steers, Inc. (the Company) announced that Robert H. Steers, the Chief Executive Officer of the Company and a member of its Board of Directors, is taking a medical leave of absence. In connection with Mr. Steers’ leave of absence, on February 21, 2021 the Company’s Board of Directors appointed Joseph M. Harvey, the Company’s President and a member of its Board of Directors, as Acting Chief Executive Officer.

Mr. Harvey, age 57, has been President of the Company since 2003 and a member of the Board of Directors since 2019. Having joined the Company in 1992, Mr. Harvey previously served as a portfolio manager from 1998 to 2016 and as Chief Investment Officer from 2003 to 2019. Mr. Harvey also serves as a Vice President and director of each of the Company’s U.S. registered open-end and closed-end funds.

Cohen & Steers Appoints Joseph M. Harvey as

Acting Chief Executive Officer

New York, NY, February 22, 2021—Cohen & Steers, Inc. (NYSE: CNS), announced today that Robert H. Steers, Co-Founder and Chief Executive Officer of the Company and a member of its Board of Directors, is taking a medical leave of absence. In connection with Mr. Steers’ leave of absence, on February 21, 2021 the Company’s Board of Directors appointed Joseph M. Harvey, the Company’s President and a member of its Board of Directors, as Acting Chief Executive Officer.

Joseph Harvey, President & Acting Chief Executive Officer, said:

Bob experienced a brain aneurysm on Saturday, February 20, 2021. He underwent successful surgery to repair the aneurysm and is currently in intensive care. As we remain focused on delivering for our clients, we wish Bob and his family the very best.
