Item 8.01 Other Events

On January 22, 2026, Citizens & Northern Corporation’s Board of Directors declared a regular quarterly cash dividend of $0.28 per share. The dividend is payable on February 13, 2026 to shareholders of record as of February 2, 2026. A copy of the press release announcing the cash dividend is attached hereto as Exhibit 99 and incorporated by reference herein.

Wellsboro, PA – Citizens & Northern Corporation (“C&N”) (NASDAQ: CZNC) announced that on January 22, 2026, C&N’s Board of Directors declared a regular quarterly cash dividend of $0.28 per share. The dividend is payable on February 13, 2026 to shareholders of record as of February 2, 2026.
