Item 8.01. Other Events

On March 8, 2023, Plaintiff Richard Delman filed a class action complaint (the “Complaint”) in the Court of Chancery of the State of Delaware. Neither of Eos Energy Enterprises, Inc. (the “Company”), nor Eos Energy Storage, LLC were named as a defendant in the Complaint, but each was identified as a relevant non-party and may have potential indemnification obligations relating to the lawsuit. At this stage, the Company is unable to ascertain the potential scope of its liability, if any.
