ITEM 5.07 Submissions of Matters to a Vote of Security Holders
Espey Mfg. & Electronics Corp. (the “Company”) held its Annual Meeting of Stockholders (“Annual Meeting”) on December 4, 2020. At the Annual Meeting, the stockholders of the Company elected Paul Corr, David O’Neil and Michael Wool to the Board of Directors as the Class C Directors of the Company for a three year term until the 2023 Annual Meeting of Shareholders or until their respective successors are duly elected and qualified.

On December 7, 2020, Espey Mfg. & Electronics Corp. issued a press release announcing that the Company's Board of Directors had declared a regular quarterly dividend. Espey Declares Regular Quarterly Dividend of $0.25 Per Share
Saratoga Springs, NY; December 7, 2020 - The Board of Directors of Espey Mfg. & Electronics Corp. (NYSE AMERICAN: ESP) has declared a regular quarterly dividend of $0.25 per share. The dividend will be payable on December 29, 2020 to all shareholders of record on December 22, 2020.
