Item 7.01 Regulation FD Disclosure.
On August 10, 2026, Flowco Holdings Inc. (the “Company”) issued a press release stating the Company has declared a one-time special cash dividend of $0.14 per share of Class A common stock, payable on August 31, 2026, to holders of record as of the close of business on August 21, 2026 (the “Special Dividend”). The Special Dividend will be funded from cash available on hand. This Special Dividend applies only to the Company’s outstanding shares of Class A common stock and represents a one-time, discretionary event. This Special Dividend should not be viewed as establishing a precedent, dividend policy, or expectation that the Company’s Board of Directors will approve similar dividends in the future. A copy of the press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated by reference herein.

HOUSTON--(BUSINESS WIRE)--Flowco Holdings Inc. (NYSE: FLOC) (“Flowco” or the “Company”), a provider of production optimization, artificial lift and emissions management and monetization solutions for the oil and natural gas industry, today announced that its Board of Directors has declared a one-time special cash dividend of $0.14 per share of Class A common stock, payable on August 31, 2026, to holders of record as of the close of business on August 21, 2026 (the “Special Dividend”).
