Item 8.01         Other Events.

On May 20, 2024, the Board of Directors of Farmers and Merchants Bancshares, Inc. (the “Company”) declared a cash dividend on the common stock of $.33 per share, which will be paid on June 21, 2024 to stockholders of record as of June 3, 2024. A copy of the Company’s press release relating to the dividend is filed as Exhibit 99.1 to this report and incorporated herein by reference.

FARMERS AND MERCHANTS BANCSHARES, INC. DECLARES CASH DIVIDEND OF $.33 PER SHARE

HAMPSTEAD, MARYLAND (May 21, 2024) – On May 20, 2024, the Board of Directors of Farmers and Merchants Bancshares, Inc., the parent of Farmers and Merchants Bank, declared a cash dividend on the common stock of $.33 per share, which will be paid on June 21, 2024 to stockholders of record on June 3, 2024. The dividend represents a 4.1% annual yield on the current market value of $16.25 per share.
