Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 29, 2024, Niloofar Razi Howe notified CompoSecure, Inc. (the “Company”) of her decision to resign as a director of the Company’s Board of Directors (the “Board”), effective September 30, 2024. Ms. Razi Howe’s resignation is for personal reasons and not as a result of any disagreement with management on any matter relating to the Company’s operations, policies or practices. The Company is grateful to Ms. Razi Howe for her years of service on the Board.
