Voting Rights and Capital

On 12 February 2025, 19,161,600 ordinary shares of US$0.50 each in HSBC Holdings plc (the "Company") were cancelled. These ordinary shares were awaiting cancellation having previously been repurchased on the Hong Kong Stock Exchange under the Company's buy-back announced on 30 October 2024.

Following cancellation of those shares, the Company has 17,835,854,213 ordinary shares in issue. No shares are held in treasury.

Therefore, the total number of voting rights in HSBC Holdings plc is 17,835,854,213. This figure for the total number of voting rights may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, HSBC Holdings plc under the Financial Conduct Authority's Disclosure Guidance and Transparency Rules and/or under Part XV of the Hong Kong Securities and Futures Ordinance.
