The following matters were voted upon at the 2023 Annual Meeting of Stockholders of Karat Packaging Inc. (the “Company”) held on June 14, 2023 (the “Annual Meeting”). Each stockholder of common stock was entitled to one vote per share on each of the five director nominees and on each other matter properly presented at the Annual Meeting.

Proposal 1 – Election of five directors, each serving for a term expiring at the next annual meeting or until their successors are duly elected and qualified.
