Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 3, 2024, Mr. Richard D. Parsons notified Lazard, Inc. (the “Company”) of his decision to step down from the Company’s Board of Directors, effective immediately, due to health reasons. Dan Schulman, Board Member, succeeds Mr. Parsons as Lead Independent Director of the Company, also effective on December 3, 2024. Mr. Parsons’s resignation accelerates Mr. Schulman’s appointment as previously announced by the Company on November 25, 2024. The Company and its executives are grateful for Mr. Parsons’s long service on the Board and his many significant contributions to the Company, the impact of which will persist long into the future.
