Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
At the annual meeting of stockholders of Lifetime Brands, Inc. (the “Company”) held on June 20, 2024 (the “Annual Meeting”), the Company’s stockholders approved an amendment and restatement of the Company’s Amended and Restated 2000 Long-Term Incentive Plan (as amended and restated, the “Plan”) (see Item 5.07 below). The purpose of the Plan is to provide a means to attract, retain, motivate and reward selected directors, officers, employees, consultants and certain service providers of the Company and its affiliates and to increase their ownership interests in the Company. The types of awards that may be granted under the Plan include stock options, stock appreciation rights, restricted stock, deferred stock, stock grants and certain other awards. Under the Plan, the Company will reserve for issuance 9,717,500 shares of the Company’s common stock, $0.01 par value (the “Common Stock”), subject to adjustment as provided in the Plan. It is not possible to determine specific amounts and types of awards that may be granted to eligible participants under the Plan (as amended and restated) subsequent to the Annual Meeting because the grant and payment of such awards is subject to the discretion of the Compensation Committee of the Company’s Board of Directors (the “Board”).
This summary of the Plan is qualified in its entirety by reference to the full text of the Plan, which is filed as Appendix B to the Company's Definitive Proxy Statement on Schedule 14A filed on April 25, 2024 (the “Proxy Statement”), which is incorporated herein by reference.
Item 5.07 Submission of Matters to a Vote of Security Holders.
The Company held its Annual Meeting on June 20, 2024, at which the Company’s stockholders voted on the following matters, which are described in detail in the Proxy Statement: (i) to elect nine (9) directors to serve on the Company’s Board until the 2025 Annual Meeting of Stockholders or until their successors are duly elected and qualified (“Proposal 1”); (ii) to ratify the appointment of Ernst & Young LLP as the independent registered public accounting firm of the Company for the fiscal year ending December 31, 2024 (“Proposal 2”); (iii) to approve, on a non-binding advisory basis, the compensation of the Company’s named executive officers (“Proposal 3”); (iv) to approve, on a non-binding advisory basis, the frequency with which stockholders are provided an advisory vote on executive compensation (“Proposal 4”); and (v) to approve an amendment and restatement of the Plan (“Proposal 5”).
Set forth below are the final voting results with respect to each of the proposals acted upon at the Annual Meeting.

As reported above, the Company’s stockholders expressed a preference of “One Year” for the frequency with which future advisory votes on named executive officer compensation should be held. The Board considered the outcome of this advisory vote and, in accordance with its recommendation set forth in the Proxy Statement and consistent with the stated preference of the majority of the Company’s stockholders, has determined that future advisory stockholder votes on executive compensation will be conducted on an annual basis, until the next advisory vote on frequency is held. The next advisory vote regarding the frequency of say-on-pay votes is required to occur no later than the Company’s 2030 Annual Meeting of Stockholders.
Proposal 5
An amendment and restatement of the Plan, as described above under Item 5.02 of this Current Report on Form 8-K, was approved based on the following votes:
