Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On January 28, 2026, the Compensation Committee (the “Committee”) of the Board of Directors of Ondas Inc. (the “Company”) approved (i) an increase to the annual base salary of Neil Laird, the Company's Chief Financial Officer and Treasurer, of $375,000, effective January 1, 2026, and (ii) a one-time discretionary cash bonus to Mr. Laird of $200,000 in connection with his performance during the year ended December 31, 2025. Also, on January 30, 2026, the Committee approved a one-time discretionary cash bonus to Patrick Huston, the Company's Chief Operating Officer, General Counsel and Secretary, of $50,000 in connection with his performance commencing October 2025 through year ended December 31, 2025.
