ITEM 5.02 DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS.
On December 8, 2021, President Joseph R. Biden, Jr., announced his intent to nominate Margaret C. Whitman, a Director of The Procter & Gamble Company (the “Company”), to serve as the United States Ambassador to Kenya. This nomination requires confirmation by the U.S. Senate. Ms. Whitman has notified the Company of her intent to resign from the Company’s Board of Directors, effective upon Senate confirmation of her appointment.
The Company is filing this 8-K pursuant to Item 5.02(b), "Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers."
