Explanatory Note
This Current Report on Form 8-K/A (the “Amendment”) updates the information provided under Item 3.03 in a Current Report on Form 8-K filed by Skye Bioscience, Inc. (the “Company”) on August 14, 2026 (the “Original Form 8-K”). This Amendment is being filed solely for the purpose of announcing the Effective Date. Capitalized terms used herein that are not otherwise defined shall have the meanings set forth in the Original Form 8-K and, except as set forth herein, the Original Form 8-K remains unchanged.
Item 3.03 Material Modification to Rights of Security Holders.
The previously disclosed Certificate will become effective at 12:01 am New York time on Thursday, August 24, 2026, with the Company’s common stock to begin trading on The Nasdaq Stock Market LLC on a split-adjusted basis at market open on August 24, 2026. The common stock will continue to trade under the existing ticker symbol “SKYE.” The new CUSIP number for the common stock following the Reverse Stock Split is 83086J309.
