Item 5.02.    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 21, 2025, Jerry Johnson informed Strategic Education, Inc. (the “Company”) of his decision to resign from the Board of Directors (“Board”), effective immediately. Mr. Johnson’s decision is a result of his desire to devote more time to other professional engagements, and not as a result of any disagreement with the Company on any matter relating to the Company’s operations, policies, or practices. The Company thanks Mr. Johnson for his service.
