On March 24, 2023, Assia Grazioli-Venier notified the Board of Directors (the “Board”) of Turning Point Brands, Inc. (the “Company”) that she will not stand for reelection as a director of the
Company at the 2023 Annual Meeting of Stockholders (the “2023 Annual Meeting”), in order to pursue other opportunities in and around her venture fund Muse Capital. Ms. Grazioli-Venier will complete her current term as a director, which
expires at the 2023 Annual Meeting. Ms. Grazioli-Venier advised the Board that her decision not to stand for reelection was not the result of any dispute or disagreement with the Company or the Board on any matter relating to the operations,
policies or practices of the Company.
The Board thanks Ms. Grazioli-Venier for her distinguished service and significant contributions to the Company.
