Total adopts a new Climate Ambition

to Get to Net Zero by 2050

Supporting EU’s carbon neutrality target, Total commits to become

a Net Zero Emission Company for all its European Businesses by 2050

Paris, May 5, 2020 – Total announces today its ambition to get to net-zero emissions by 2050 together with society for its global business across its production and energy products used by its customers.

Through a joint statement developed between Total S.A. and institutional investors – as participants in the global investor initiative Climate 100+^1^ – Total takes 3 major steps towards achieving this ambition:

Three major steps to get Total to Net Zero:

1. Net Zero across Total’s worldwide operations by 2050 or sooner (scope 1+2) ****

2. Net Zero across all its production and energy products used by its customers in Europe^2^ by 2050 or sooner (scope 1+2+3) ****

3. 60% or more reduction in the average carbon intensity of energy products used worldwide by Totalcustomers by 2050 (less than 27.5 gCO2/MJ) – with intermediate steps of 15% by 2030 and 35% by 2040 (scope 1 + 2 + 3) ****

This ambition is supported by the strategy to develop Total as a broad-energy company, with oil and gas, low-carbon electricity and carbon-neutrality solutions as integrated parts of its business. Total firmly believes this low-carbon strategy provides a competitive advantage which creates long term value for its shareholders.

This strategy is already in action since 2015 as Total is the leading major in terms of reduction of its scope 3 average carbon intensity with a 6% reduction already achieved since 2015. And today it sets the highest ambition amongst the majors for its scope 3 average carbon intensity with less than 27.5 GCO2/MJ by 2050.

Patrick Pouyanné, in his capacity as Chairman of the Board, declared: “Energy markets are changing, driven by climate change, technology andsocietal expectations. Total is committed to helping solve the dual challenge of providing more energy with fewer emissions. We are determined to advance the energy transition while also growing shareholder value. Today, we are announcing our newClimate Ambition to get to Net Zero by 2050 – together with society. The Board believes that Total’s global roadmap, strategy and actions set out a path that is consistent with goals of the Paris agreement. We acknowledge the positive roleof engagement and open dialog with investors as the one we experienced with Climate 100+ along the last months.

^1^ According to Total evaluation, participants to Climate Action 100+ own more than 25% of Total’s shares.<br>
^2^ Europe means the EU + Norway + UK
--- ---

We recognize that the trust of our shareholders, and society more widely, is essential to Total remainingan attractive and reliable long-term investment. And only by remaining a world-class investment can we most effectively play our part in advancing a low carbon future. This is the reason why our people are already in action across Total, seekingopportunities to reduce our emissions, improve our products and develop new low-carbon businesses”.

Regarding the commitment to become a net-zero energy business in Europe, he commented: “As the EU has set thetarget to achieve net zero emissions by 2050 and thereby lead the way for other regions to become carbon neutral over time, Total takes that commitment to become neutral for all its businesses in Europe ^2^ . At the time where Total elects to adopt the status of a European company, Total wants to be an exemplary European corporate Citizen and offers its active support for the EU to achieve netzero emissions by 2050. Total will work together with other businesses to enable decarbonization of energy use”.

Total confirms its target of a renewable generation gross capacity of 25 GW in 2025 and will continue to expand its business to become a leading international player in renewable energies. Total currently allocates more than 10% of its Capex to low carbon electricity, the highest level among the Majors. To actively contribute to the energy transition, Total will further increase its allocation of Capex in favor of low carbon electricity to 20% by 2030 or sooner.

Press Release

Convening of the Shareholders Meeting

to be held on May 29, 2020

Paris,May 5, 2020 – **** The Board of Directors of TOTAL S.A. met on May 4, 2020, under the chairmanship of CEO Patrick Pouyanné. It reviewed the documents related to the May 29, 2020, Annual Shareholders’ Meeting, which will take place without the physical presence of shareholders, given the current state of health emergency in France.

The documents prepared by the Company for this General Meeting will be available on the Company’s website as of May 6, 2020, pursuant to the regulations in force.

The Board of Directors decided to amend the 3rd resolution related to the allocation of earnings and the declaration of dividend for the fiscal year ended December 31, 2019, set at 2.68 €/share by proposing to the shareholders an option to receive the final dividend of 0.68 €/share in shares.

In addition, the Board of Directors considered at this meeting the request to include in the Agenda of the Shareholders’ Meeting a draft resolution proposed by shareholders representing nearly 1.37% of the share capital of the Company. This draft seeks to amend an article of the by-laws related to the management report that, if adopted, would lead such report to include notably the strategy of the Company as defined by the Board to align its activities with the objectives of the Paris Climate agreement as well as the setting in absolute terms of targets for greenhouse gas emissions not only for emissions directly related to the operations the Company is responsible for, but also for indirect emissions related to the use of energy products by clients but on which the Company has no direct control.

The Board of Directors decided to include this proposed resolution, which respects the forms required by law, in the Agenda of the Combined Shareholders’ Meeting to be held on May 29, 2020, but not to recommend the approval of this resolution.

The Board of Directors emphasizes that it is fully aware of its responsibilities on environmental matters by proposing at the Shareholders’ Meeting to amend the by-laws to enshrine consideration of the social and environmental challenges involved in the Company’s activities in the duties of the Board of Directors. In this context, the Board of Directors adopted, after a productive dialogue with institutional investors – as participants in the global investor initiative Climate Action 100+^1^, the new climate ambition to achieve carbon neutrality by 2050. This climate ambition was the subject of a press release issued on May 5, 2020. The Board considers that it is responding largely to the objectives of the authors of the resolution and that the Group’s strategy incorporates this ambition. There is therefore no need to compel the strategic framework of the Company’s activity in the by-laws, beyond what the Board of Directors has already proposed to the Shareholders’ Meeting.

^1^ According to Total evaluation, participants to Climate Action 100+ own more than 25% of Total’s shares.<br>

In addition, by targeting indirect greenhouse gas emissions related to the use of Total’s energy products by its clients, the resolution as drafted leads the Group to assume responsibility for these emissions, although the use of its products results from its clients’ choices, and the Company does not have the direct capacity to act on the demand. Total does not manufacture aircrafts, cars or cement, but it supplies the energy products that are used or processed by other industries to provide services or products. While Total can act on the mix of its energy products, only public policies and technical and technological changes in energy consumption – that Total supports and facilitates as part of its Climate ambition – are able to steer energy demand.

Furthermore, the Board of Directors considers that by seeking to specify the contents of the management report in the by-laws, the proposed resolution undermines the prerogatives of the Board of Directors and results in interference by the Shareholders’ Meeting in the remit of the Board of Directors in violation of the principle of division of powers between corporate bodies

Finally, at the Shareholders’ Meeting, the resolutions relating to compensation policies for the year 2020 will be submitted to the shareholders for a vote on the Chairman & CEO on one part and the members of the Board of Directors on the other. The Board informs the shareholders that in the extraordinary economic situation facing the Group, which requires a vigorous economic response from the company, the Chairman & CEO proposed that his fixed compensation be reduced by 25% from May 1 to December 31, 2020. The Board of Directors took note of this and noted that given the expected evolution of the economic criteria for the variable portion, Patrick Pouyanné’s 2020 total compensation will decrease by more than 30% compared to 2019. The members of the Board of Directors have also decided to give up 25% of their compensation for their mandate from the Annual Shareholders’ Meeting. .

***

Conditions of availability of the preparatory documents:

The preliminary notice of the Shareholders’ Meeting was published in the BALO (Bulletin des annonces légales obligatoires) on March 25,2020, and the convening notice including the modified agenda and the modified text of the proposed resolutions, will be published on May 6, 2020. The documents referred to in Article R. 225-83 of theFrench Commercial Code will be made available to Shareholders as from the date of the convening notice for the Meeting in accordance with applicable regulation. Historic investment decision for transport and storage of CO2

Paris, 15th of May, 2020 – Equinor, Shell and Total have decided to invest in the Northern Lights project in Norway’s first exploitation licence for CO2 storage on the Norwegian Continental Shelf. Plans for development and operation have been handed over to the Ministry of Petroleum and Energy.

“The Northern Lights project could become the first step to develop a value chain for Carbon Capture and Storage (CCS), which is vital to reach theglobal climate goals of the Paris Agreement. Development of CCS projects will also represent new activities and industrial opportunities for Norwegian and European industries, says Anders Opedal, executive vice president for Technology, Projects & Drilling at Equinor.

The investment decision is subject to final investment decision by Norwegian authorities and approval from the EFTA Surveillance Authority (ESA).

“This unique project opens for decarbonisation of industries withlimited opportunities for CO 2 -reductions. It can be the first CO 2 storage for Norwegian andEuropean industries and can support goals to reduce net greenhouse gas emissions to zero by 2050”, says Opedal.

The investment decision concludes the study phase during which the Equinor, Shell and Total worked closely with Norwegian authorities to conduct engineering studies and project planning, drill a confirmation well and develop the necessary agreements. Following the investment decision, the partners intend to establish a joint venture company.

The initial investments will total almost NOK 6.9 billion. The project will generate much needed jobs for Norwegian industry, with an estimated 57 percent of the investment going to Norwegian contractors.

“CCS is a crucial technology to help society and economies thrive through the energy transition. Shell is active in all parts of the CCS value chainand Northern Lights further strengthens our global CCS portfolio. We appreciate the leadership shown by the Norwegian Government to accelerate the development of CCS value chains and believe that the NorthernLights CO 2 transport and storage solution has the potential to unlock investment in capture projects across Europe,” says Syrie Crouch, vice president for CCUS in Shell.

“Total is proud to be part of this first commercial-scale carbon transportation & storageproject in Europe. Together with our industrial partners, under the leadership of Norway, we’ve managed to conclude successfully the technical studies and we have achieved an important step towards the realization of the project.Today, more than ever, we are willing to maintain our efforts on the development of the CCS technology which is needed to reach the EU carbon neutrality goals and is fully part of Total’s new ClimateAmbition to get to Net Zero by 2050”, says Philippe Sauquet, president Gas Renewables & Power at Total.

Interest from European authorities and3^rd^ parties

The project will be developed in phases. Phase 1 includes capacity to transport, inject and store up to 1.5 million tonnes of CO2 per year. Once the CO2 is captured onshore by industrial CO2-emitters, Northern lights will be responsible for transport by ships, injection and permanent storage some 2,500 metres below the seabed.

The CO2 receiving terminal will be located at the premises of Naturgassparken industrial area in the municipality of Øygarden in Western Norway. The plant will be remotely operated from Equinor’s facilities at the Sture terminal in Øygarden and the subsea facilities from Oseberg A platform in the North Sea.

The facility will allow for further phases to expand capacity. Investments in subsequent phases will be triggered by market demand from large CO2 emitters across Europe.

Equinor, on behalf of the partners, has already signed non-binding Memoranda of understanding with several European companies for the development of value chains in carbon capture and storage. Binding commercial agreements will depend on positive investment decision from Norwegian authorities and for individual third-party projects. This cross-industry collaboration is a unique solution and enables handling of large CO2 volumes that would otherwise have been emitted. This new value chain and infrastructure for carbon capture and storage projects can only be developed with cooperation between governments and companies.

If the project receives a positive final investment decision from the Norwegian Government in 2020, Phase 1 is expected to be operational in 2024.

Total is exploring quantum algorithms

to improve CO2 capture

Paris, 15 May 2020 – Total is stepping up its research into Carbon Capture, Utilization and Storage (CCUS) technologies by signing a multi-year partnership with UK start-up Cambridge Quantum Computing (CQC). This partnership aims to develop new quantum algorithms to improve materials for CO2 capture. Total’s ambition is to be a major player in CCUS and the Group currently invests up to 10% of its annual research and development effort in this area.

To improve the capture of CO2, Total is working on nanoporous materials called adsorbents, considered to be among the most promising solutions. These materials could eventually be used to trap the CO2 emitted by the Group’s industrial operations or those of other players (cement, steel etc.). The CO2 recovered would then be concentrated and reused or stored permanently. These materials could also be used to capture CO2 directly from the air (Direct Air Capture or DAC).

The quantum algorithms which will be developed in the collaboration between Total and CQC will simulate all the physical and chemical mechanisms in these adsorbents as a function of their size, shape and chemical composition, and therefore make it possible to select the most efficient materials to develop. Currently, such simulations are impossible to perform with a conventional supercomputer, which justifies the use of quantum calculations.

“Total is very pleased to be launchingthis new collaboration with Cambridge Quantum Computing: quantum computing opens up new possibilities for solving extremely complex problems. We are therefore among the first to use quantum computing in our research to design new materials capableof capturing CO 2 more efficiently. In this way, Total intends to accelerate the development of the CCUS technologies that are essential to achieve carbon neutrality in2050” said Marie-Noëlle Semeria, Total’s CTO.

Ilyas Khan, CEO of CQC, said: “We are very excited to be working with Total, a demonstrated thought-leader in CCUS technology. Carbon neutrality is one of the most significant topics of our time and incredibly important to the future of the planet. Total has a provenlong-term commitment to CCUS solutions. We are hopeful that our work will lead to meaningful contributions and an acceleration on the path to carbon neutrality.”

Total Discontinues the Acquisition of Occidental Petroleum’s Assets in Ghana

Paris, May 18, 2020 – In August 2019, Total and Occidental Petroleum entered into a Purchase and Sale Agreement (PSA) in order for Total to acquire Anadarko’s assets in Africa. Under this agreement, Total and Occidental have since completed the sale and purchase of the Mozambique and South Africa assets.

The PSA provided that the sale of the Ghana assets was conditional upon the completion of the Algeria assets’ sale. Occidental has informed Total that, as part of an understanding with the Algerian authorities on the transfer of Anadarko’s interests to Occidental, Occidental would not be in a position to sell its interests in Algeria.

Given the extraordinary market environment and the lack of visibility that the Group faces, and in light of the non-operated nature of the interests of Anadarko in Ghana, Total has decided not to pursue the completion of the purchase of the Ghana assets and, as a consequence, to preserve the Group’s financial flexibility.

“This decision not to pursue the completion of the purchase of the Ghana assets consolidates the Group’s efforts in the controlof its net investments this year and provides financial flexibility to face the uncertainties and opportunities linked to the current environment,” said Patrick Pouyanné, Total Chairman and CEO.

Electricity & Gas: Total becomes one of the leading suppliers in Spain

Paris, May 18, 2020 – Total strengthens its positions in generation and supply of electricity and gas in Spain through the acquisition of the Energías de Portugal’s portfolio of 2.5 million B2C customers and two gas-fired combined cycle power plants, which represent an electricity generation capacity of nearly 850 megawatts.

This transaction in Spain follows Total’s entry into the country’s solar market in February with the acquisition of a portfolio of almost 2 gigawatts of renewable power projects to be developed. It allows the Group to implement its growth strategy in the country’s integrated gas and electricity value chain and notably to:

• enter the Spanish B2C market and become the 4^th^ largestsupplier of gas and power in the country with residential market share of 12% and 6% respectively.
• complement its future production of renewable electricity, which is intermittent, with flexible electricitygeneration capacities from gas.
--- ---

This deal serves Total’s ambition to achieve Carbon Neutrality by 2050 for its worldwide business across its production and energy products used by its customers, and to play a major role in the energy transition in Europe, Spain being among the first countries to have adopted an objective of Carbon Neutrality by 2050.

“This is a major new step in Total’s ambition to become a broad energy company. This transaction enables Total to become one of the keyplayers in the energy market in Spain, covering a wide spectrum from LNG imports to power generation from renewables and gas, as well as gas and electricity supply. Our ambition is to be able to bring a competitive offer from our productions to theSpanish consumers, drawing on the digital and commercial know-how developed in France by Total Direct Energie and in Belgium by Lampiris,” said Patrick Pouyanné, Chairman and CEO of Total. “This transaction is fully consistent with the Group’s strategy of profitable growth across the gas and low carbon electricity value chain in Europe, in line with our new ambition to get to Net Zero Emission by 2050. With this dealTotal will reach 8.5 million gas and power customers in Europe from 2021, on track with its ambition to serve over 10 million customers by 2025”.

The transaction with EDP is based on an enterprise value of €515 million. It remains subject to conditions precedent, including regulatory approval and should be finalized before the end of 2020. The portfolio of around 2.5 million residential contracts is composed of around 2.1 million held by EDP Commercializadora (100% EDP) and around 0.4 million by CHC, a joint venture between EDP and CIDE, the latter transaction being subject to CIDE agreement. Upon closing, EDP will transfer to Total the 280 employees managing the activities acquired.

Paris, May 27, 2020– **** In accordance with its policy in favour of employee shareholding, the Board of Directors of TOTAL S.A. decided, on September 18, 2019, to carry out a capital increase reserved for eligible employees and former employees of the Group worldwide under the conditions set by the eighteenth resolution at the Shareholders’ Meeting of June 1, 2018.

On April 29, 2020, the Chairman and CEO decided to set (i) the subscription period from May 6 to May 18, 2020 (included) and (ii) the subscription price at 26.20 euros per share, corresponding to the average of the closing prices of the TOTAL share on Euronext Paris over the twenty trading sessions preceding the date of this decision, reduced by a 20% discount and rounded off to the highest tenth of a euro.

At the end of this period, 45,547 employees in 97 countries, representing 39.97% of the eligible Group employees and former employees, subscribed to this capital increase for an amount of 339.4 million euros. These results are on the rise compared to 2019, both in terms of participation rate and number of shares subscribed despite the uncertain economic environment.

« This year again and in spite ofthe health and economic crisis, Total’s employees have confirmed their attachment to the Group, first by supporting in a vast majority maintaining the operation of Capital increase reserved for employees, then by subscribing massively to it. AsChairman and CEO, I am extremely proud and that comforts my conviction that the Group will know how to handle the crisis it faces », declared Patrick Pouyanné, Chairman and CEO of Total
