Section 5 – Corporate Governance and Management

Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

(e) On May 14, 2025, at the 2025 Annual Meeting of shareholders (the “Meeting”) of United Bankshares, Inc. (“United” or the “Company”), the shareholders of the Company approved the adoption of the United Bankshares, Inc. 2025 Equity Incentive Plan (the “2025 Plan”) in accordance with the voting results set forth below under Item 5.07. The 2025 Plan was originally approved by the Board of Directors of the Company on February 24, 2025, subject to shareholder approval and the 2025 Plan became effective at the time of shareholder approval.

The material terms of the 2025 Plan are summarized on pages 68-77 of the Company’s Definitive Proxy Statement on Schedule 14A filed with the Securities and Exchange Commission on April 1, 2025 (the “Proxy Statement”), which description is incorporated by reference. This description of the 2025 Plan is qualified in its entirety by reference to the full text of the 2025 Plan, which is attached hereto as Exhibit 10.1 and incorporated by reference into this Item 5.02.

Item 5.07. Submission of Matters to a Vote of Security Holders

At the Meeting, shareholders voted on the following four matters outlined in the Company’s Proxy Statement: (1) to elect fifteen (15) persons to serve as directors of the Company for a one-year term expiring at the 2026 Annual Meeting; (2) to ratify the selection of Ernst & Young LLP, as the independent registered public accounting firm for the fiscal year ending December 31, 2025; (3) to approve, on an advisory basis, the compensation of United’s named executive officers; and (4) to approve the United 2025 Equity Incentive Plan. The matters are described in detail in the Proxy Statement mailed to shareholders on or about April 1, 2025. The shareholders elected each of the fifteen (15) persons listed below as directors of the Company for a one-year term expiring at the 2026 Annual Meeting; ratified the selection of Ernst & Young LLP, as the independent registered public accounting firm for the fiscal year ending December 31, 2025; approved, on an advisory basis, the compensation of United’s named executive officers; and approved the United 2025 Equity Incentive Plan.
