ITEM 8.01 Other Event.
On August 1, 2025 – U.S. Physical Therapy, Inc. (the “Company”) (NYSE: USPH), a
national operator of outpatient physical therapy clinics and provider of industrial injury prevention services, announced the acquisition of a physical therapy practice with three clinic locations, which currently generates approximately $5.3
million in annual revenues and 28,000 in annual visits. The Company acquired a 60% interest in the practice with the current owners retaining a 40% ownership interest.

Houston, TX, August 1, 2025 – U.S. Physical Therapy, Inc. (the “Company”) (NYSE: USPH), a national operator of outpatient physical therapy clinics and provider of industrial injury prevention services, announced
