EXPLANATORY NOTE

On April 21, 2023, Controladora Vuela Compañía de Aviación, S.A.B. de C.V. (NYSE: VLRS) (the “Company”) amended its by-laws to effect the changes approved by the Company’s shareholders detailed in the Form 6-K the Company filed with the Securities and Exchange Commission on April 21, 2023. A copy of the English translation of the amended by-laws is filed as Exhibit 99.1 to this Form 6-K.
