Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
(b) On July 30th, 2026, Mark Thornton notified the Board of Directors (the "Board") of XPEL, Inc. (the "Company") of his resignation as a member of the Board, effective immediately. Mr. Thornton's resignation was not the result of any disagreement with the Company on any matter relating to the Company's operations, policies, or practices. Mr. Thornton resigned as a result of a new policy adopted by his employer that prohibits him from serving on the Board.
The Board thanks Mr. Thornton for his service and contributions to the Company.
