Item 4.01 Changes in Registrant’s Certifying Accountant
On February 2, 2024, the Audit Committee (the “Committee”) of the Board of Directors (the “Board”) of Zoomcar Holdings, Inc. (the “Company”) formally approved the appointment by the Board of Grant Thornton Bharat LLP (“GT”) as the Company’s independent registered public accounting firm for the fiscal year ending March 31, 2024. As previously disclosed in the Company’s Current Report on Form 8-K filed on January 4, 2024 (the “Prior 8-K”), the Board dismissed Marcum LLP as the Company’s independent registered public accounting firm and appointed GT as the Company’s independent registered public accounting firm on December 29, 2023. The information in Item 4.01 of the Prior 8-K is incorporated by reference herein.
