“During Executive’s employment with the Company, Executive will serve as a member of the Board, subject to the Company’s Amended and Restated Bylaws as amended and in effect from time to time (the “Bylaws”) and Nominating & Corporate Governance Committee charter and other corporate governance-related charters, policies, guidelines and other directives, each as amended and in effect from time to time ("Corporate Governance Guidelines") and subject to Board and/or shareholder initial or continued approval.”

“Subject to the terms and conditions set forth in this Agreement, Executive’s employment hereunder shall be effective as of October 25, 2023. The Executive will be employed in the position of Chief Executive Officer (CEO), with his principal places of employment being his personal residence in Austin, Texas or in other location(s) and the Company's principal office in Austin, Texas (as determined and allocated by Executive from time to time in consultation with the Company’s Board of Directors (the “Board”), subject to required business travel in connection with the Company’s investors, service providers, customers and new sales opportunities and other sales-related duties and responsibilities.”
