Item 8.01 Other Events.
The Company announced that the Board of Directors has authorized the Company to make up to $50.0 million in purchases of shares of the Company’s common stock. Repurchases will be made in accordance with one or more pre-arranged stock repurchase plans adopted by the Company pursuant to the guidelines specified under Rule 10b-18 or Rule 10b5-1 of the Securities Exchange Act of 1934, as amended. The actual timing, number and value of shares repurchased will depend on market conditions, share price, trading volume, and other factors.

TULSA, OK, June 4, 2024 – AAON, Inc. (NASDAQ: AAON) (“AAON” or the “Company”), today announced that its Board of Directors has approved a new $50.0 million share repurchase authorization. Repurchases will be made in accordance with one or more pre-arranged stock repurchase plans adopted by the Company pursuant to the guidelines specified under Rule 10b-18 or Rule 10b5-1 of the Securities Exchange Act of 1934, as amended.
