Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 26, 2021, the Board of Directors (the “Board”) of AudioEye, Inc. (the “Company”) appointed Kelly Georgevich, the Company’s Chief Financial Officer, to also serve as the Company’s principal financial officer and principal accounting officer, effective August 26, 2021. Ms. Georgevich will assume such positions from Carr Bettis, who will remain the Company’s Executive Chairman of the Board.
