Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On September 29, 2025, Constellation Energy Corporation (“Constellation”) filed a Current Report on Form 8-K to report the election of Alan Armstrong to the Board of Directors, effective January 1, 2026. At the time of that filing, the board had not yet determined the committees of the board on which Mr. Armstrong would be appointed to serve. This Form 8-K/A is being filed to provide this information.
On February 10, 2026, Mr. Armstrong was appointed to serve on the Compensation Committee and the Nuclear Oversight Committee.
