(a) On July 16, 2025, Anthony Tata resigned from the Board of Directors of Coda Octopus Group, Inc. (the “Company”). Mr. Tata’s resignation resulted from his confirmation by the U.S. Senate for the position of Undersecretary of Defense for Personnel and Readiness. There were no disagreements between the Company and Mr. Tata.
