Item 8.01 Other Events.
On December 6, 2023, the Board of Directors (the “Board”) of Dynex Capital, Inc. (the “Company”) elected Mr. Bryon L. Boston to serve as the chairman of the Board. Mr. Boston will act as a combined chief executive officer and chairman of the Board.
Concurrently, with Mr. Boston’s election, the Board appointed Dr. Julia L. Coronado, who has served on the Board since 2020, to serve as the Board’s lead independent director.
