Item 7.01 Regulation FD Disclosure
First Guaranty Bancshares, Inc. (“First Guaranty”) today announces that its wholly-owned banking subsidiary, First Guaranty Bank (the “Bank”), completed the previously announced sale of the Bank's Texas operations, consisting of five branches and related deposits, loans and certain other assets, to Armstrong Bank, Muskogee, Oklahoma. The sale was completed on July 31, 2026.
First Guaranty sold approximately $234 million of deposits and approximately $88 million of loans.
The information in this Item 7.01 shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, nor shall it be deemed incorporated by reference in any filing under the Securities Act of 1933.
